These terms are an agreement between you and ANVOG LLC, a New Mexico limited liability company at 1396 Flatbush Ave, Brooklyn, NY 11210, which operates MemberPilot. "We" and "MemberPilot" mean ANVOG LLC. "You" means whoever is using the service, whether as a creator selling access or as a customer buying it.
By creating a MemberPilot account, connecting a Telegram community, buying through a MemberPilot checkout link, or redeeming an access code, you agree to these terms.
Section 18 contains an arbitration agreement and a waiver of class actions. It affects how disputes between us get resolved. You can opt out within 30 days.
1. What MemberPilot is
MemberPilot is software that automates paid access to Telegram channels and groups. We provide:
- checkout links and payment orchestration across the payment accounts a creator connects,
- subscription and entitlement management,
- Telegram access control: single-use invites, join request approval, expiry and removal,
- digital product delivery through Telegram,
- access codes for complimentary and offline access.
We are not the seller. When a customer buys a creator's membership or digital product, the contract for that product is between the customer and the creator. Money settles into the creator's own connected payment account. MemberPilot does not hold a sales balance, does not act as merchant of record for creator sales, and has no product to give a customer if a creator disappears. What we charge for ourselves is described in section 6.
MemberPilot is an independent service. It is not affiliated with, endorsed by, or operated by Telegram.
2. Eligibility
You must be at least 18 years old and legally able to enter into a contract. If you use MemberPilot for a company, you confirm you can bind that company.
You must not use MemberPilot if you are barred from doing so under the laws that apply to you, or if you appear on a sanctions list maintained by the United States or another applicable government. Payment providers run their own sanctions and identity screening, and their decision to refuse or freeze an account is theirs, not ours.
3. Your account
Sign-in is through Telegram, or by one-time code sent to your email. Keep control of whichever you use. Anyone who controls your Telegram account or your email inbox can reach your MemberPilot workspace, and we cannot tell them apart from you.
A workspace has an owner and may have managers and members. The owner is responsible for who they invite and for what those people do.
Settings → Account lists everything we hold about you as a person, as opposed to about your business. Your display name there is yours to change. The rest is either issued by Telegram or recorded by us, and is shown rather than edited: you change a Telegram username on Telegram, and the account it is linked to can only be changed by us, on request, so that nobody can move your alerts to another chat.
4. Telegram
MemberPilot uses one shared Telegram bot that we operate. You do not create a bot in BotFather, you do not hold a bot token, and you do not configure a webhook. You add the MemberPilot bot to your private channel or group as an administrator, and we verify its rights over Telegram's Bot API.
For MemberPilot to work in a chat, the bot needs administrator rights there, including the ability to invite users and manage members. If those rights are removed, or the bot is removed, access automation for that chat stops. We will tell you when we notice, but we cannot restore rights you have taken away.
Your channels, your groups and your members remain yours. Disconnecting MemberPilot stops our automation and leaves the people currently in your chat where they are.
You are separately bound by Telegram's own terms of service. Nothing here overrides them, and a Telegram enforcement action against your account or your chat is between you and Telegram.
5. Payment accounts
Creators connect their own payment accounts. Today that means:
- Stripe, through Stripe Connect. You accept Stripe's Connected Account Agreement directly with Stripe. Charges are made on your account, Stripe collects its processing fees from you, and Stripe owns the relationship and the negative balance liability.
- NOWPayments and CCPayment, by pasting your own API credentials. Crypto settles into your own account or wallet with those providers. See section 10.
You are responsible for keeping your provider account in good standing and for following that provider's rules about what may be sold through it. If a provider restricts, suspends or closes your account, your MemberPilot checkout stops working, and there is nothing we can do about it from our side.
Providers listed in the product as unavailable are not available. Do not plan around them.
6. The MemberPilot service fee
MemberPilot charges a 5% service fee, and the customer pays it on top of the creator's price. A $20.00 plan charges the customer $21.00 and settles $20.00 to the creator, before the creator's own payment processor takes its cut. The fee is shown to the customer on the checkout page before they pay.
There is no monthly subscription fee for creators.
How the fee reaches us depends on the provider, and the difference matters:
Stripe. The fee is split automatically at the moment of the charge, as a Stripe application fee. Nothing is billed to you separately. Because Stripe expresses the fee on subscriptions as a percentage rounded to two decimal places, the amount actually collected can differ from 5% of the price by a small number of minor units on unusual amounts. We record what Stripe reports, not what we asked for.
NOWPayments and CCPayment. These providers cannot split a fee at charge time. The full amount the customer paid, including our fee, lands in your account, and our fee becomes a balance you owe us. You can see that balance at any time in Settings → Billing, and there are two ways to clear it:
- By card. Add a payment card to MemberPilot and we charge it automatically for the accrued balance when it reaches $10.00, or on the first day of the month, whichever comes first. This is the only way the balance clears without you doing anything.
- In USDT. Pay the outstanding balance yourself, at any amount, from Settings → Billing. This opens a hosted CCPayment invoice on MemberPilot's own merchant account, priced in your reporting currency and payable in USDT. It is a payment to us, not a sale, and none of it touches your own CCPayment account.
Paying in USDT is manual and does not repeat. Nothing is stored to charge again, and a balance that builds up after you pay stays outstanding until you pay it again or add a card. If you want the balance to clear on its own, add a card.
The same crypto realities in section 10 apply to a fee payment: the balance clears when the transfer confirms on chain, not when the invoice page closes, and an underpaid or held transfer leaves the balance open. Because there is no chargeback and no way for us to send crypto back, a fee paid in USDT is final.
If we cannot charge your card, we will tell you through the bot and ask you to update it. Unpaid service fees remain owed however you meant to pay them, and we may suspend checkout for the workspace until the balance clears.
Refunds are handled proportionally: refunding half a purchase refunds half the service fee.
We may change the service fee rate. If we do, we will give creators at least 30 days' notice through the bot or by email, and the new rate will apply only to sales made after it takes effect.
7. Taxes
You are responsible for your own taxes. That includes sales tax, VAT, GST, digital services taxes, income tax and anything else that applies to what you sell and where you and your customers are.
MemberPilot does not calculate, collect, file or remit tax on your sales. We do not act as your marketplace facilitator, deemed supplier or merchant of record. The amounts shown in your dashboard are what the payment provider reported, and they are not tax advice.
Our own service fee may be subject to tax in your jurisdiction, and we may add it where required.
8. Subscriptions, trials and cancellation
Subscriptions renew automatically until they are cancelled. Recurring billing is only available on Stripe. The price, the interval and the renewal date are shown at checkout and in the MemberPilot bot under "My subscriptions".
Customers can cancel at any time from inside the MemberPilot bot, without contacting anyone. Cancelling stops the next renewal. It does not end the current period: you keep access until the end of the period you already paid for, and then MemberPilot removes you from the creator's Telegram chats, after any grace period the creator configured.
Trials come in two shapes, and which one you get is set by the creator.
- A card-required trial is a real Stripe subscription. Stripe holds your payment method, the plan sits in a trialing state, and Stripe charges it automatically when the trial ends unless you cancel first.
- A cardless trial takes no payment method at all. MemberPilot grants access and expires it on a timer. Nothing is charged, and nothing converts on its own. When the timer runs out, access is removed.
One trial per person, either per plan or per creator, depending on how the creator configured it. Leaving and rejoining, restarting the bot or opening a new browser does not produce a second trial.
Failed payments. For card subscriptions, Stripe controls its own retry schedule and dunning behavior. We do not set it and cannot override it. MemberPilot controls the Telegram side: when the paid period ends, plus whatever grace period the creator configured, access is removed. The default grace period is zero days unless the creator changed it.
If a creator withdraws a plan from sale, they choose what happens to people already on it. They can grandfather existing subscribers at the price they agreed to, or let renewals stop at the end of the current period. Either way, nobody loses access they have already paid for.
9. Access codes
Creators can issue access codes that grant access without a payment, for giveaways, offline sales or complimentary access. A code has a duration, a redemption limit and an optional expiry. Redeeming one grants Telegram access for that duration and nothing else: no payment is created, no revenue is recorded and nothing renews.
A creator can disable or revoke codes. Doing so stops new redemptions. Access already granted by a redeemed code runs out normally.
Access codes are not currency, are not refundable, have no cash value, and can be withdrawn by the creator who issued them.
10. Crypto payments
Crypto payments through NOWPayments or CCPayment are different from card payments in ways that are worth stating plainly rather than burying.
They are effectively final. There is no chargeback, and MemberPilot has no way to initiate a refund on either provider. Returning crypto means sending a transaction to an address the payer controls, which is a manual act with no undo. Treat a crypto payment as final unless you and the creator agree otherwise and the creator arranges it directly with their provider.
Confirmation takes time. Access starts when we have confirmed the payment with the provider, not when the checkout page says thank you. A success page or a pending / processing status is not enough. For CCPayment we look up the order after a final success status and credit based on the amount actually received against the invoice, not the success label alone. On-chain confirmation can take minutes.
Sending too little. A wallet can send less than the invoice. When the confirmed received amount is short of the required amount:
- Telegram access is not granted and no paid entitlement is created.
- We do not convert a short payment into fewer membership days.
- The required amount, the amount received, the shortfall, and the provider order are recorded so the creator can see the row in Transactions.
- While the provider order is still valid, a later deposit on the same order can bring it to paid. After the order expires, later funds may still reach the creator's provider balance but may no longer be associated with that order. In that case the buyer needs a new checkout.
Value moves. The amount of crypto required is quoted by the provider at checkout. What that is worth in any currency afterwards is not something we control or guarantee.
Sending too much. A card is authorized for an exact amount. A wallet is not: the payer chooses what to send, and sending more than the invoice is a mistake anyone can make. When that happens:
- Access is what was bought, not what was sent. Overpaying does not extend a membership, upgrade the offer, or add account credit.
- Recurring-revenue figures stay on the invoice price. The extra amount is not treated as a larger sale.
- The full amount lands in the creator's account, because that is where the payment was addressed. The difference belongs to the buyer.
- MemberPilot's service fee is charged on the price only. We never take a percentage of an overpayment.
- Both figures are recorded — what was owed and what arrived — and the creator is told, with the difference spelled out.
The creator settles the excess, because only they can: the coins are in their wallet and no provider here lets us reverse a transfer. MemberPilot does not automatically turn the extra amount into more access. The creator can send the difference back and mark it settled in Transactions. Buyers who think they have overpaid should contact the creator, and may contact us at support@memberpilot.bot if they get no response.
Crypto memberships are prepaid, one period at a time. There is no stored instrument to charge a second time, so nothing renews automatically. Access runs to the end of the period bought and then ends. Buyers renew by paying again before that date. MemberPilot sends reminders before access ends.
The provider may hold funds. CCPayment in particular can flag a deposit for review, in which case the money is in the creator's account but frozen until the creator releases it. That is between the creator and CCPayment.
One crypto payment runs the other way. A creator settling their MemberPilot service fee in USDT (section 6) is paying us through our own CCPayment merchant account rather than theirs. Everything above still applies to it — confirmation takes time, a held or underpaid transfer does not clear the balance, and it cannot be reversed — and the outstanding balance is only marked paid once we have confirmed the order with CCPayment directly.
11. Digital products
A digital product in MemberPilot is a reference to messages that already live inside a Telegram chat the creator controls. Nothing is uploaded to us and nothing is stored by us. Delivery is Telegram copying the creator's own message to the buyer.
This has one consequence every creator needs to understand: if you delete the source message in Telegram, the product stops being deliverable, and we cannot recover it. MemberPilot checks source availability and will warn you when a source goes missing, but the content was never ours to keep. Keep your source messages in place for as long as you sell the product and for as long as buyers may ask for a re-delivery.
Buyers can ask the bot to send a purchase again from "My purchases". We do not promise re-delivery forever, and we cannot re-deliver what a creator has deleted.
MemberPilot does not apply forwarding restrictions to delivered content. A buyer can save and forward what they receive. Creators who want that restricted should set it on their own source channel.
12. Refunds, chargebacks and disputes
Refunds are the creator's decision and the creator's responsibility. MemberPilot has no refund button. There is no MemberPilot balance to refund from, because we never held the money.
- Card payments. The creator issues the refund from their own Stripe dashboard. Stripe reports it to us and we record it. A full refund ends the buyer's access. A partial refund does not, because guessing how much access a 30% refund buys would be us inventing a policy the creator never set.
- Crypto payments. See section 10. Not reversible through MemberPilot.
Creators must publish their own refund terms and honor them, and must comply with any consumer law that gives their buyers a right to cancel or refund, including rights that exist regardless of what a creator's own policy says.
Chargebacks. A card chargeback is between the buyer, the creator and Stripe. Stripe's decision governs, and Stripe recovers the disputed amount and its fees from the creator's account. MemberPilot is not a party and does not represent either side. Our service fee on a disputed sale remains owed to us where it was not already refunded.
Buyers: contact the creator first. We can explain what our records show about access and delivery, but we cannot refund a sale we did not receive.
13. Acceptable use
Creators are responsible for what they sell, whether it is legal where they and their buyers are, whether they hold the licenses to sell it, and whether they have the rights to the content.
You may not use MemberPilot to sell, distribute, promote or provide access to:
- anything illegal where you are or where your buyers are,
- child sexual abuse material, or any sexual content involving minors, in any form. There is no gray area here and no warning: accounts are terminated and reported.
- non-consensual intimate imagery, or content published without the subject's consent,
- content that infringes someone else's copyright, trademark or other rights, including resold courses, pirated files, cracked software and leaked databases,
- malware, exploits, stolen credentials, stolen financial data or hacking services,
- controlled substances, weapons, or other goods whose sale is restricted,
- fraudulent schemes, including Ponzi and pyramid structures, guaranteed-return investment offers, signal groups promising specific profits, pump-and-dump coordination, and fake or misleading claims about what a membership contains,
- unlicensed financial, investment, legal, medical or other regulated advice where a license is required,
- gambling, lotteries or betting where you are not licensed to operate them,
- harassment campaigns, doxxing, or content that incites violence against people or groups,
- anything a payment provider you have connected prohibits under its own rules.
You also may not:
- charge for access to a Telegram chat you do not control,
- reference someone else's Telegram content as your digital product,
- misrepresent who you are, or impersonate MemberPilot, Telegram or a payment provider,
- attempt to bypass access controls, redeem codes you were not given, guess access codes, or interfere with the bot, the queue or another workspace,
- scrape, resell or redistribute the service, or use it to build a competing product,
- send unsolicited bulk messages through the bot.
We do not pre-screen what creators sell. We act on reports, on provider notices and on what we find. Selling something on this list is grounds for immediate termination without notice, forfeiture of any unpaid balance owed to us notwithstanding, and where the law requires it, a report to the relevant authorities.
14. Content and intellectual property
Yours stays yours. You keep all rights in your communities, offers, product content, media and customer relationships.
You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reference, transmit, copy and display your content strictly to the extent needed to operate the service for you: rendering your checkout page, copying your source messages to buyers who paid for them, showing your channel picture in your dashboard, and so on. The license lasts as long as you use MemberPilot for that content, and ends when you remove it or close your account, except for records we are required to keep.
Ours stays ours. MemberPilot's software, design, brand and documentation belong to ANVOG LLC. These terms do not transfer any of it to you.
Copyright complaints. If you believe content sold or delivered through MemberPilot infringes your copyright, email support@memberpilot.bot with enough detail to identify the work, the offer or product that infringes it, your contact details, and a statement that you have a good faith belief the use is not authorized. We will review it, and will remove infringing offers and terminate repeat infringers. Note that the content itself lives in Telegram, not on MemberPilot, so a complete takedown may also require a complaint to Telegram.
15. Suspension and termination
You can leave whenever you want. Disconnect your communities, stop selling, or email us to close the account. Members already in your chat stay there. Your payment accounts and your Telegram communities are unaffected. Outstanding service fees remain payable.
We can suspend or terminate an account that breaks section 13, that a payment provider has flagged, that we reasonably believe is being used for fraud, or that has an unpaid service fee balance after we have asked for it.
When an account ends, checkout stops, entitlements stop being renewed, and automation stops. We do not mass-remove a creator's existing members on our way out.
16. What we do not promise
MemberPilot is provided as it is, without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent the law allows.
Specifically, and to be honest rather than vague about it:
- There is no uptime commitment and no service level agreement. We do not offer one, and nothing on this site or in the product should be read as one.
- Telegram is not ours. We do not promise that Telegram will be available, that its Bot API will keep working the way it does today, that a chat will not be restricted, or that Telegram will not change a rule that breaks something here. If Telegram is down, MemberPilot cannot grant or remove access.
- Payment providers are not ours. We do not promise that Stripe, NOWPayments or CCPayment will remain available, will keep your account open, will approve a particular transaction, or will continue to support MemberPilot.
- We do not guarantee crypto settlement. A transaction can be delayed, underpaid, held for review by the provider, or fail on-chain.
- We cannot recover deleted Telegram content. See section 11.
- We do not guarantee that access automation is perfect. Telegram can be slow or unavailable, a webhook can be delayed, and our membership roster is incomplete by construction for anyone who joined a chat before MemberPilot was installed. We do not promise that every unauthorized person is found or removed.
- We do not vet creators or verify what they sell. Buying through MemberPilot is not our endorsement of the creator or the product.
17. Liability
To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, lost sales or lost goodwill, even if warned they were possible.
Our total liability to you for all claims arising out of or relating to MemberPilot, in aggregate, is limited to the greater of (a) the total service fees we actually collected in connection with your account in the 12 months before the event giving rise to the claim, or (b) one hundred United States dollars.
We are not liable for anything a creator sells, promises, delivers or fails to deliver, nor for anything Telegram or a payment provider does or fails to do.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, these limits apply only to the extent permitted, and nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be limited by law.
18. Disputes
Talk to us first. Email support@memberpilot.bot with a description of the problem and what you want. Most things end here. Give us 30 days before starting a formal proceeding.
Arbitration. If we cannot resolve it, you and ANVOG LLC agree that any dispute arising out of or relating to MemberPilot or these terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Judgment on the award may be entered in any court with jurisdiction. Arbitration will take place in Kings County, New York, or by video or telephone if you prefer, or in your home county if you ask.
Class action waiver. You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, consolidated or representative proceeding. An arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim, and only that claim, proceeds in court.
Small claims. Either of us can bring an individual claim in small claims court instead, if it qualifies.
Opting out. You can opt out of this arbitration agreement by emailing support@memberpilot.bot with the subject line "Arbitration opt-out" within 30 days of first accepting these terms. Include your account email or Telegram username. Opting out costs you nothing and affects nothing else in this agreement.
19. Governing law
These terms are governed by the laws of the State of New York, without regard to its conflict of law rules. For any dispute not subject to arbitration, you and we consent to the exclusive jurisdiction of the state and federal courts located in Kings County, New York, and the United States District Court for the Eastern District of New York.
20. General
Changes. We may update these terms. We will change the dates at the top of this page, and for changes that materially affect fees, acceptable use or your rights, we will give account holders at least 30 days' notice through the bot or by email. Continuing to use MemberPilot after a change takes effect means you accept it. If you do not, close your account.
Whole agreement. These terms, together with the Privacy Policy, are the entire agreement between us about MemberPilot and replace anything said before.
If part of this fails, the rest stands.
Not waived by inaction. If we do not enforce something immediately, we have not given it up.
Assignment. You may not assign these terms without our written consent. We may assign them to a successor in a merger, acquisition or sale of the business.
No partnership. Nothing here makes either of us the other's agent, partner, employee or joint venturer.
